Welcome to the Sessions LMS platform, operated by Wehayes Productions LLP. By clicking "I Agree," creating an account, or otherwise accessing the Platform, you (the "Organization" or "Academy") represent that you have the authority to bind your entity to these Terms and that you agree to be legally bound by this agreement.

1. Definitions

  • •"Platform": The Sessions LMS software, including the intelligent scheduling engine, user dashboards, mobile applications, and all associated cloud infrastructure.
  • •"Organization/Academy": The tuition center, educational agency, or corporate entity that registers an account on the Platform.
  • •"Authorized Users": Any individual authorized by the Organization to access the Platform, including but not limited to tutors, administrative staff, and students.
  • •"Service Fees": The recurring subscription costs and any additional charges incurred by the Organization based on the selected service tier.

2. License Grant and Restrictions

Wehayes Productions LLP grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the management of your educational institution.

  • •Usage Restrictions: You shall not (i) sublicense, sell, or rent the Platform to any third party; (ii) reverse engineer, decompile, or attempt to derive the source code of the Platform; (iii) use the Platform for any illegal activity or in a manner that violates the privacy rights of your students or tutors.

3. Subscription Plans and Financial Terms

  • •Service Tiers:
    • •Shared: A multi-tenant environment designed for emerging academies, sharing core infrastructure.
    • •Common: A robust tier designed for established academies requiring enhanced features and priority support.
  • •Billing and Payment:
    • •Per-Student Model: Billing is calculated based on the number of active students registered in your account.
    • •Minimum Floor: Regardless of active student count, a minimum monthly charge of ₹10 per student is enforced as the baseline operational fee.
    • •Payment Terms: Invoices are generated on the 1st of each month and must be settled within 7 days. Late payments may result in restricted access to the Platform or account suspension until all outstanding balances are cleared.

4. Intelligent Schedule Engine and Service Accuracy

  • •User Responsibility: The Organization remains fully responsible for reviewing, verifying, and final-approving all schedules, course assignments, and attendance logs generated by the system.

5. Data Privacy, Ownership, and Compliance

  • •Data Ownership: The Organization retains absolute ownership of all content, student records, and intellectual property uploaded to the Platform.
  • •Processing License: By utilizing our services, you grant Wehayes Productions LLP a non-exclusive license to host, copy, transmit, and display your data strictly for the purpose of fulfilling our service obligations.
  • •Data Protection & Compliance: Both parties agree to comply with the Digital Personal Data Protection Act, 2023. The Organization is solely responsible for ensuring it has obtained all necessary consents from parents/guardians before uploading data of minors.
  • •Data Portability & Deletion: Upon termination, the Organization is entitled to a data export of its records in a machine-readable format within 30 days of the request, after which data may be deleted from our systems.

6. Service Level and Force Majeure

  • •Uptime: While we strive for 99.9% uptime, the Platform is provided on a commercially reasonable basis.
  • •Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure results from any cause beyond such party's reasonable control, including, but not limited to, acts of God, war, terrorism, civil unrest, government-mandated internet shutdowns, pandemics, or third-party cloud service disruptions.

7. Intellectual Property & Feedback

  • •Our IP: All rights, title, and interest in and to the Platform, including all intellectual property rights, remain exclusively with Wehayes Productions LLP.
  • •Feedback License: Any suggestions, ideas, or feedback provided by the Organization to improve the platform are the property of Wehayes Productions LLP, and we have the right to implement them without any obligation to pay the Organization.

8. Limitation of Liability

To the maximum extent permitted under applicable law, Wehayes Productions LLP shall not be liable for any indirect, special, incidental, or consequential damages, including loss of revenue, reputation, or educational data. In no event shall our total aggregate liability for all claims arising out of your use of the Platform exceed the total Service Fees paid by you in the six (6) months prior to the event giving rise to the claim.

9. Grievance Redressal

For any complaints regarding data privacy, billing, or service performance, the Organization may contact our Grievance Officer at [business@wehayes.com].

10. Termination

  • •Termination by You: You may deactivate your account at any time via the admin dashboard.
  • •Termination by Us: We reserve the right to suspend or terminate access to the Platform for any breach of these Terms, including non-payment or unauthorized use, with notice where reasonably possible.

11. Governing Law and Dispute Resolution

This agreement and any disputes arising out of your use of the Platform are governed by the laws of India. Any litigation or legal action related to this agreement shall be brought exclusively in the courts located in Kozhikode, Kerala.
